The Role
An experienced, results-driven Merger and Acquisition (M&A) Manager to lead and manage all aspects of M&A activities within Aspire Pharma, including by not limited to identification, origination, pipeline management, execution and integration of acquisitions.
The successful candidate can expect to be working across a range of opportunities from acquisitions of existing businesses, portfolio carve-outs to divestments.
The ideal candidate will have in-depth knowledge of the pharma sector, including drug development, regulatory landscapes, and market dynamics. The ideal candidate will have a strategic mindset, excellent analytical skills, and a deep understanding of financial, legal, and operational aspects of M&A transactions. This role involves identifying potential acquisition opportunities, performing due diligence, and executing deals that align with the company’s strategic growth objectives inclusive of European M&A targets.
What will you be doing?
Strategic Planning and Analysis
- Develop and execute M&A strategies to meet organizational growth goals.
- Conduct market research to identify potential acquisition opportunities, industry trends, and competitive landscapes.
- Collaborate with senior leadership to define target profiles and acquisition criteria.
Identify acquisition targets of complementary pharmaceutical companies.
Deal Sourcing and Evaluation:
- Lead due diligence processes, including financial analysis, legal compliance, risk assessment, and operational evaluation.
Build a broad advisor network to source acquisition opportunities across priority geographies
Financial Modelling and Valuation:
- Develop and review detailed financial models to support M&A decisions.
- Perform valuations using techniques such as discounted cash flow (DCF), comparable company analysis (CCA), and precedent transactions.
Analyse synergies, integration costs, and potential return on investment (ROI
Due Diligence:
- Lead due diligence processes, including financial analysis, legal compliance, risk assessment, and operational evaluation.
- Coordinate cross-functional teams to gather critical information and assess target companies.
- Summarise and present findings to Executive Team & Board.
Identify potential risks and opportunities related to each transaction.
Negotiation and Deal Structuring:
- Lead negotiations with target companies, advisors, and legal teams to structure favourable deal terms.
- Draft and review term sheets, letters of intent (LOI), and definitive agreements.
Manage communications between internal and external stakeholders throughout the transaction process.
Integration and Post-Merger Management:
- Collaborate with internal teams to ensure seamless integration of acquired companies.
- Develop and implement 100-day integration plans, addressing cultural, operational, and financial alignment.
Track and report on post-merger performance to ensure expected synergies and value realisation.
The Person
- Bachelor’s degree in finance, Business Administration, Economics, or a related field (MBA or CFA preferred).
- Proven experience (3+ years) in Healthcare M&A Advisory, Investment Banking, Corporate Development, or Private Equity.
- Strong financial modelling, valuation, and analytical skills.
- Knowledge of corporate law, tax regulations, and compliance requirements
- Ability to develop and retain contacts in the Invest bank community, with corporate development specialists in other investment organisations etc.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to manage multiple projects in a fast-paced environment.
- Combines professionalism and gravitas with the EQ to interact credibly with owner funders through to corporate executive.
- Have great written and oral communications skills and be able to influence at all levels including C-suite and investors.
- Familiarity with financial databases and tools such as Bloomberg, Capital IQ, Excel, Power BI.
